Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Garmel platform (the "Service"), operated by Garmel ("Garmel", "we", "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Garmel is a software-as-a-service platform that enables businesses ("Businesses") to run loyalty programs, memberships, and customer engagement campaigns under their own branding. End customers ("Customers") interact with the platform through business-branded interfaces.

The Service is offered to businesses only (B2B). By subscribing you confirm you are acting in the course of a trade, business, or profession, and not as a consumer.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate and complete information when creating an account and keep it up to date. You must be at least 18 years old to create a Business account.

3. Subscription, Fees & Billing

  • Price. The Business subscription is €89 per month (excluding VAT, applied at checkout where required), billed monthly in advance via Stripe.
  • Free trial. New Businesses receive a 14-day free trial. No card is required to start. If no payment method is added by the end of the trial, the account is paused, nothing is charged.
  • Platform fee. Where a Business sells membership plans to its Customers through the Service, payments are processed by Stripe Connect and a platform application fee of 5% of each membership payment is deducted, in addition to Stripe's standard processing fees. This fee is also shown in the dashboard when a membership tier is created.
  • Changes. We may change subscription pricing with at least 30 days' written notice; changes apply from your next billing cycle.
  • Non-payment. If payment fails or the subscription lapses, we may suspend access to paid features until payment is resolved.

4. Refunds & Cancellation

You may cancel at any time from the dashboard. Access continues until the end of the paid period. Subscription fees are non-refundable, as set out in our Refund Policy. This is a B2B service; consumer cooling-off rights do not apply to business subscribers. Any mandatory rights that cannot lawfully be excluded remain unaffected.

5. Acceptable Use

You agree not to misuse the Service, including (without limitation): attempting unauthorized access, manipulating points or rewards, using automated tools to interact with the Service without permission, sending unlawful or misleading marketing through the platform, or using the Service for any illegal services or content. Full rules are set out in the Acceptable Use Policy, which forms part of these Terms. We may suspend or terminate accounts that breach it.

6. Points & Rewards

Points have no cash value. Points and rewards are promotional credit redeemable only with the issuing Business, are not transferable for money, and are not e-money. We and the issuing Business reserve the right to adjust, expire, or void points in cases of fraud or system error. Any displayed monetary-style balance is credit with that Business only.

7. Your Data & Customer Data

We own the Garmel platform and all software, design, and content we provide. Businesses own their data, including their customer lists and program data. Where we process personal data on behalf of a Business, the Data Processing Agreement applies. Our use of personal data is described in the Privacy Policy.

8. Intellectual Property

All rights, title, and interest in the Service (excluding your data and your branding) remain with Garmel. You receive a limited, non-exclusive, non-transferable licence to use the Service for your business while your subscription is active. You grant us a limited licence to use your name, logo, and brand assets solely to provide the white-labeled Service to you.

9. Termination

We may suspend or terminate your access for material breach of these Terms or the Acceptable Use Policy. You may delete your account at any time through account settings. The Business Subscriber Agreement describes what happens to your data on cancellation.

10. Disclaimers & Limitation of Liability

The Service is provided "as is" without warranties of any kind, to the maximum extent permitted by law. We are not liable for indirect, incidental, or consequential damages. Our total aggregate liability under these Terms is capped at the subscription fees you paid in the 12 months preceding the claim. Nothing in these Terms excludes liability that cannot be excluded by law (including for fraud or for death or personal injury caused by negligence).

11. Governing Law & Disputes

These Terms are governed by the laws of the jurisdiction in which Garmel's operator is established. The parties will first attempt to resolve any dispute by good-faith negotiation for 30 days. Failing that, disputes are subject to the exclusive jurisdiction of the courts where Garmel's operator is established.

12. Changes to These Terms

We may update these Terms from time to time. For material changes we will give Businesses at least 30 days' notice by email. Continued use of the Service after changes take effect constitutes acceptance.
