Business Subscriber Agreement

This Business Subscriber Agreement ("Agreement") applies between Garmel ("Garmel") and each business that subscribes to the Garmel platform (the "Subscriber"). It supplements the Terms of Service and, together with the Data Processing Agreement, governs the €89/month B2B subscription.

1. The subscription

  • One plan: €89 per month (ex VAT), everything included, billed monthly in advance via Stripe.
  • 14-day free trial; no payment method required to start.
  • A 5% platform application fee applies to membership payments the Subscriber collects from its customers via Stripe Connect, in addition to Stripe's processing fees.

2. Service levels

Garmel is provided on a commercially reasonable best-effort basis. No specific uptime percentage is guaranteed and scheduled maintenance may cause brief interruptions. We will use reasonable efforts to give notice of planned maintenance and to restore the Service promptly after unplanned outages. No service credits apply unless agreed separately in writing.

3. Intellectual property

Garmel owns the platform, all software, design, documentation, and improvements. The Subscriber owns its data, its brand assets, customer list, and program data. Each party grants the other only the limited licences needed to operate the Service as described in the Terms.

4. Data protection

Garmel processes personal data of the Subscriber's customers on the Subscriber's behalf as a processor. The Data Processing Agreement is incorporated into this Agreement and is accepted at sign-up.

5. Liability cap

Each party's total aggregate liability under this Agreement is limited to the subscription fees paid by the Subscriber in the 12 months preceding the event giving rise to the claim. Neither party is liable for indirect or consequential loss. Nothing limits liability for fraud, wilful misconduct, or anything that cannot be limited by law.

6. Suspension

Garmel may suspend access for non-payment, material breach of the Acceptable Use Policy, or a genuine security risk. Where practical, we will give notice and an opportunity to remedy before suspending.

7. Term, cancellation & data on exit

  • The Agreement runs month to month and renews automatically until cancelled.
  • The Subscriber may cancel anytime from the dashboard; access continues to the end of the paid period (see Refund Policy).
  • On cancellation: Subscriber data, including the customer list, remains exportable for 30 days. After 30 days it is permanently deleted, except financial records retained for 7 years as required by law.

8. General

Governing law and jurisdiction follow the Terms of Service (the jurisdiction in which Garmel's operator is established; the courts where Garmel's operator is established). If this Agreement conflicts with the Terms, this Agreement prevails for business subscribers.
